For Individual Stockholders<\/p><p style=\"padding-left: 80px;\">a.\u00a0 \u00a0Scanned copy of stock certificate issued in the name of the individual stockholder;<\/p><p style=\"padding-left: 80px;\">b. \u00a0 Valid email address;<\/p><p style=\"padding-left: 80px;\">c. \u00a0 Scanned copy of valid government-issued identification card;<\/p><p style=\"padding-left: 80px;\">d. \u00a0 Recent photo of stockholder.<\/p><p style=\"padding-left: 40px;\">2. For Stockholders under PCD Participant\/Brokers Account or holding \u2018Scripless Shares\u2019<\/p><p style=\"padding-left: 80px;\">a. \u00a0 Stockholders should coordinate with their broker and request for the full account name and reference number or account number they provided the Company;<\/p><p style=\"padding-left: 80px;\">b. \u00a0 Broker\u2019s Certification on the stockholder\u2019s number of shareholdings;<\/p><p style=\"padding-left: 80px;\">c. \u00a0 Valid email address and active contact number of the stockholder;<\/p><p style=\"padding-left: 80px;\">d. \u00a0 Scanned copy of valid government-issued identification card of stockholder; and<\/p><p style=\"padding-left: 80px;\">e. \u00a0 Recent photo of stockholder.<\/p><p style=\"padding-left: 40px;\">3. For Stockholders with Joint Accounts<\/p><p style=\"padding-left: 80px;\">a. \u00a0 Authorization letter signed by all stockholders indicating the name of the person authorized to cast the votes;<\/p><p style=\"padding-left: 80px;\">b. \u00a0 Scanned copy of stock certificate issued in the name of the joint stockholders;<\/p><p style=\"padding-left: 80px;\">c. \u00a0 Valid email address and active contact number of the authorized stockholder;<\/p><p style=\"padding-left: 80px;\">d. \u00a0 Scanned copy of valid government-issued identification card of the authorized stockholder; and<\/p><p style=\"padding-left: 40px;\">4. For Corporate Stockholders<\/p><p style=\"padding-left: 80px;\">a. \u00a0 Secretary\u2019s Certificate attesting to the authority of the representative to vote the shares on behalf of the corporate stockholder;<\/p><p style=\"padding-left: 80px;\">b. \u00a0 Scanned copy of stock certificate issued in the name of the corporate stockholder;<\/p><p style=\"padding-left: 80px;\">c. \u00a0 Valid email address and active contact number of the stockholder; and<\/p><p style=\"padding-left: 80px;\">d. \u00a0 Valid government-issued identification card of authorized representative.<\/p><p>The documents submitted will then be verified by the Company. The validation process will be completed by the Company no later than three (3) business days from the stockholder\u2019s receipt of an email from the Company acknowledging receipt of the stockholder\u2019s registration documents. Once validated, the stockholder will receive an email that his\/her\/its account has been verified and shall provide instructions for the stockholder\u2019s access to the Company\u2019s electronic voting and to access the Annual Meeting livestreaming link.<\/p><p>\u00a0<\/p><p><span style=\"text-decoration: underline;\"><strong>VOTING VIA ASM PORTAL<\/strong><\/span><\/p><p>Duly registered stockholders have the option to vote for the matters contained in the agenda for the Annual Meeting through electronic voting in absentia. <span style=\"text-decoration: underline;\"><strong>The deadline for registration is 5:00 PM of 25 June 2025<\/strong><\/span>. Beyond this date, stockholders may no longer avail of the option to electronically vote in absentia.<\/p><p style=\"padding-left: 40px;\">1.\u00a0 For items other than Election of Directors, the registered stockholder has the option to vote: <strong>FOR, AGAINST, or ABSTAIN<\/strong>. The vote is considered cast for all the registered stockholder\u2019s shares.<\/p><p style=\"padding-left: 40px;\">2.\u00a0 For the Election of Directors, the registered stockholder may vote for all nominees, not vote for any of the nominees, or vote for some nominees only, in such number of shares as preferred by the stockholder, provided that the total number of votes cast shall not exceed the number of shares owned, multiplied by the number of directors to be elected. The total number of votes the stockholder is allowed to cast shall be based on the number of shares he\/she or it owns.<\/p><p>Once voting on the agenda items is finished, the stockholder can proceed to submit the accomplished ballot thru the ASM Portal. After the ballot has been submitted, the stockholder may no longer change his\/her vote. The stockholder will receive a confirmation email that his\/her\/its vote has been recorded.<\/p><p>Thereafter, the Office of the Corporate Secretary shall tabulate all valid and confirmed votes cast through electronic voting, together with the votes through proxies, subject to validation by representatives of the Company\u2019s external auditors.<\/p><p>Registered stockholders shall have until\u00a0<strong><u>5:00 PM of 27 June 2025<\/u><\/strong>\u00a0to cast their votes in absentia. Stockholders will not be allowed to cast votes during the livestream of the Annual Meeting.<\/p><p>\u00a0<\/p><p><span style=\"text-decoration: underline;\"><strong>VOTING BY PROXY<\/strong><\/span><\/p><p style=\"padding-left: 40px;\">A. \u00a0 For individual stockholders holding certificated shares of the Company \u2013 The stockholder shall use the Proxy form attached to the Company\u2019s Definitive Information Statement made available at the Company\u2019s website.<\/p><p style=\"padding-left: 40px;\">B. \u00a0 For stockholders holding \u2018scripless\u2019 shares, or shares held under a PCD Participant\/Broker \u2013 Company \u2013 The stockholder shall use the Proxy form attached to the Company\u2019s Definitive Information Statement made available at the Company\u2019s website. Stockholders are advised to coordinate with their brokers first for the execution of this type of proxy.<\/p><p style=\"padding-left: 40px;\">C. \u00a0 For corporate stockholders \u2013 The stockholder shall use the Proxy form attached to the Company\u2019s Definitive Information Statement made available at the Company\u2019s website. A copy of the duly signed and notarized Secretary\u2019s Certificate must be submitted together with the proxy form.<\/p><p>The stockholder shall send the scanned copy of the duly executed proxy form via email to <span style=\"text-decoration: underline;\">carenkay_adolfo@optax.com.ph<\/span> or submit the original proxy form to the Office of the Corporate Secretary at 9th Floor, Vista Place, Vista Hub Campus Tower 1, Hon. Levi Mariano Avenue, Barangay Ususan, Taguig City.<\/p><p>Deadline for the submission of proxies is at <span style=\"text-decoration: underline;\"><strong>5:00 PM of 29 June 2025<\/strong><\/span>. Validation of proxies will be on <span style=\"text-decoration: underline;\"><strong>3 July 2025<\/strong><\/span>.
