REGISTRATION<\/strong><\/span><\/p>

Please be advised that stockholders<\/span>\u00a0may register from\u202f<\/span><\/span>9:00 AM of\u00a0<\/span>23<\/span>\u00a0June 202<\/span>6<\/span>\u00a0until 5:00 PM of 2<\/span>9<\/span>\u00a0June 202<\/span>6<\/span><\/span><\/strong><\/span>\u202fto signify\u00a0<\/span>their<\/span>\u00a0intention to\u00a0<\/span>participate<\/span>\u00a0in the Annual Meeting by remote communication.<\/span><\/span><\/p>

To register, stockholders shall submit the following requirements via the ASM Portal:<\/p>

1. For Individual Stockholders<\/p>

a.\u00a0 Scanned copy of stock certificate issued in the name of the individual stockholder;<\/span><\/span><\/p>

b. \u00a0 Valid email address;<\/p>

c.\u00a0 Scanned copy of valid government-issued identification card;<\/span>\u00a0and<\/span><\/span>\u00a0<\/span><\/p>

d.\u00a0 Recent photo of\u00a0<\/span>stockholder<\/span>.<\/span><\/span>\u00a0<\/span><\/p>

2. For Stockholders under PCD Participant\/Brokers Account or holding \u2018Scripless Shares\u2019<\/p>

a.\u00a0 Stockholders should coordinate with their broker and request for the full account name and reference number or account number they provided the Company;<\/span><\/span>\u00a0<\/span><\/p>

b.\u00a0 Broker\u2019s Certification on the stockholder\u2019s number of shareholdings;<\/span><\/span><\/p>

c.\u00a0 Valid e<\/span>–<\/span>mail address and active contact number of the stockholder;<\/span><\/span>\u00a0<\/span><\/p>

d.\u00a0 Scanned copy of valid government-issued identification card of stockholder; and<\/span><\/span>\u00a0<\/span><\/p>

e. \u00a0 Recent photo of stockholder.<\/p>

3. For Stockholders with Joint Accounts<\/p>

a.\u00a0 Authorization letter signed by all stockholders\u00a0<\/span>indicating<\/span>\u00a0the name of the person authorized to cast the votes;<\/span><\/span>\u00a0<\/span><\/p>

b.\u00a0 Scanned copy of stock certificate issued in the name of the joint stockholders;<\/span><\/span>\u00a0<\/span><\/p>

c.\u00a0 Valid e<\/span>–<\/span>mail address and active contact number of the authorized stockholder;<\/span>\u00a0and<\/span><\/p>

d.\u00a0 Scanned copy of valid government-issued identification card of the authorized stockholder<\/span>.<\/span><\/span>\u00a0<\/span><\/p>

4. For Corporate Stockholders<\/p>

a.\u00a0 Secretary\u2019s Certificate attesting to the authority of the representative to vote the shares on behalf of the corporate stockholder;<\/span><\/span>\u00a0<\/span><\/p>

b.\u00a0 Scanned copy of stock certificate issued in the name of the corporate stockholder;<\/span><\/span>\u00a0<\/span><\/p>

c.\u00a0 Valid e<\/span>–<\/span>mail address and active contact number of the stockholder; and<\/span><\/span>\u00a0<\/span><\/p>

d.\u00a0 Valid government-issued identification card of authorized\u00a0<\/span>representative<\/span>.<\/span><\/p>


The documents\u00a0<\/span>submitted<\/span>\u00a0will then be verified by the Company. The validation process will be completed by the Company no later than three (3) business days from the stockholder\u2019s receipt of an e<\/span>–<\/span>mail from the Company acknowledging receipt of the stockholder\u2019s registration documents. Once\u00a0<\/span>validated<\/span>, the stockholder will receive an email that his\/her\/its account has been verified and shall provide instructions for the stockholder\u2019s access to the Company\u2019s electronic voting and\u00a0<\/span>to access<\/span>\u00a0the Annual Meeting livestreaming link.<\/span><\/span>\u00a0<\/span><\/p>


VOTING VIA ASM PORTAL<\/strong><\/span><\/p>

Duly registered stockholders have the\u00a0<\/span>option<\/span>\u00a0to vote for the matters contained in the agenda for the Annual Meeting through electronic voting in absentia.\u202f<\/span><\/span>The deadline for registration is 5:00 PM\u00a0<\/span>of<\/span>\u00a02<\/span>9<\/span>\u00a0June 202<\/span>6<\/span><\/span><\/strong><\/span>.<\/strong><\/span> Beyond this date, stockholders may no longer avail of the\u00a0<\/span>option<\/span>\u00a0to electronically vote in absentia.<\/span><\/span>\u00a0<\/span><\/p>

1. For items other than Election of Directors, the registered stockholder has the\u00a0<\/span>option<\/span>\u00a0to vote:\u202f<\/strong><\/span><\/span>FOR<\/strong>, AGAINST<\/strong>, or ABSTAIN<\/strong><\/span><\/span>. The vote is considered cast for all the registered stockholder\u2019s shares.<\/span><\/span>\u00a0<\/span><\/p>

2. For the Election of Directors, the registered stockholder may vote for all nominees, not vote for any of the nominees, or vote for some nominees only, in such number of shares as preferred by the stockholder, provided that the total number of votes cast shall not exceed the number of shares owned, multiplied by the number of directors to be elected. The total number of votes the stockholder is allowed to cast shall be based on the number of shares he\/she<\/span>\/<\/span>it owns.<\/span><\/p>


Once voting on the agenda items is finished, the stockholder can\u00a0proceed\u00a0to submit the accomplished ballot through\u00a0the ASM Portal.\u00a0After the ballot has been submitted, the stockholder may no longer change his\/her\/its\u00a0vote.\u00a0The stockholder will receive a confirmation email that his\/her\/its vote has been recorded.<\/span>\u00a0<\/span><\/p>


<\/span>Thereafter, the Office of the Corporate Secretary shall tabulate all valid and confirmed votes cast through electronic voting, together with the votes through proxies, subject to validation by representatives of the Company\u2019s external auditors.<\/span>\u00a0<\/span><\/p>

\u00a0<\/span><\/p>

Registered stockholders shall have until\u202f<\/span>5:00 PM of\u00a001 July\u00a02026<\/strong><\/span>\u202fto cast their votes in absentia.\u00a0Stockholders will not be allowed to cast votes during the livestream of the Annual Meeting.<\/span>\u00a0<\/span><\/p>


VOTING BY PROXY<\/strong><\/span><\/p>

A.\u00a0 For individual stockholders holding certificated shares of the Company \u2013 The stockholder shall use the Proxy\u00a0<\/span>F<\/span>orm attached to the Company\u2019s Definitive Information Statement made available at the Company\u2019s website.<\/span><\/span>\u00a0<\/span>\u00a0<\/span><\/p>

B. For stockholders holding \u2018scripless\u2019 shares, or shares held under a PCD Participant\/Broker \u2013 Company \u2013 The stockholder shall use the Proxy\u00a0<\/span>F<\/span>orm attached to the Company\u2019s Definitive Information Statement made available at the Company\u2019s website.\u00a0<\/span>Stockholders are advised to<\/span>\u00a0coordinate with their brokers first for the execution of this type of proxy.<\/span><\/span>\u00a0<\/span><\/p>

C. For corporate stockholders \u2013 The stockholder shall use the Proxy\u00a0<\/span>F<\/span>orm attached to the Company\u2019s Definitive Information Statement made available at the Company\u2019s website. A copy of the duly signed and notarized Secretary\u2019s Certificate must be\u00a0<\/span>submitted<\/span>\u00a0together with the\u00a0<\/span>P<\/span>roxy\u00a0<\/span>F<\/span>orm.<\/span><\/span>\u00a0<\/span><\/p>


The stockholder shall send the scanned copy of the duly executed\u00a0Proxy\u00a0Form via email to\u202f<\/span>reychelle.medina@primewatercorp.com<\/span>\u202for submit the original\u00a0Proxy\u00a0Form to the Office of the Corporate Secretary at\u00a08th Floor, Vista Place, Vista Hub Campus Tower 1, Hon. Levi Mariano Avenue, Barangay\u00a0Ususan, Taguig City.<\/span>\u00a0<\/span><\/p>

\u00a0<\/span><\/p>

Deadline for the submission of proxies is at\u202f<\/span>5:00 PM\u00a0of\u00a003\u00a0July\u00a02026<\/b><\/span>. Validation of proxies will be on\u202f<\/span>08\u00a0July\u00a02026<\/b><\/span>. If a stockholder\u00a0avails of\u00a0the\u00a0option\u00a0to cast his\/her vote electronically in absentia\u00a0and also\u00a0issues proxy votes with differing instructions, the duly accomplished ballots sent via the ASM Portal shall replace the proxy votes issued by the stockholder.<\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
